About RecordandInvoice
RecordandInvoice is a browser-based invoicing application designed for independent consultants and owner-operated businesses. It is a product of Martucks Consulting LLC, a Maryland limited liability company ("we," "us," or "our"). Throughout these Terms, "Software" refers to RecordandInvoice and any updates you receive under Section 7.

License Grant
Subject to your compliance with these Terms and payment of the applicable purchase price, Martucks Consulting LLC grants you a perpetual, worldwide, non-exclusive, non-transferable license to install and use RecordandInvoice for your lawful business purposes.
Who the license covers
The license is granted to the purchasing business entity, not to a specific individual. Up to five (5) individuals employed by or contracted to that business entity may access and use the Software. "Use" means any access, operation, or entry of data into the Software.
What perpetual means
Once purchased, your license does not expire. You may continue to use the version of the Software you have received, even if you choose not to renew the optional update plan described in Section 7.
What the license does not cover
The license covers only the purchasing business entity as it exists at the time of purchase. It does not extend to clients, customers, vendors, affiliates, parent companies, subsidiaries, or any other party outside your licensed business entity.
License Restrictions
You may not, and may not permit any other person to:
- Copy, reproduce, or distribute the Software or any portion of it to any person or entity outside your licensed business entity;
- Sell, sublicense, rent, lease, lend, or otherwise transfer rights to the Software to any third party;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
- Use the Software to build a competing product or service, or as a foundation or reference for any product intended to compete with RecordandInvoice;
- Provide access to the Software to third parties as a service bureau, meaning charging other businesses or individuals for access to or use of the Software;
- Remove, alter, or obscure any copyright notice, trademark, or other proprietary marking within the Software;
- Use the Software to create, invoice for, or facilitate the delivery of any illegal good, service, or activity under applicable law;
- Use automated scripts, bots, scrapers, or other tools to extract, scrape, or harvest data from the Software beyond normal manual use; or
- Represent the Software as your own product, rebrand it, or distribute it under a different name.
License Non-Transferability
Your license is granted to your business entity as it exists at the time of purchase. The license is non-transferable.
If your business is sold, acquired, merged into another entity, or undergoes a change of controlling ownership, the license does not transfer to the new owner or resulting entity. The incoming owner or entity must purchase a separate license to use RecordandInvoice.
If your business ceases operations, the license terminates.
Your Data and BYOS Architecture
RecordandInvoice uses a Bring Your Own Storage (BYOS) architecture. The following describes how your data is handled.
Your data stays on your device
All business records you create in RecordandInvoice (invoices, clients, contracts, task orders, time entries, and templates) are stored in your browser's local storage on your own device. We do not store, transmit, or have access to your business records under any circumstances.
You are responsible for your backups
Because your data lives on your device, you are solely responsible for maintaining current backups. RecordandInvoice provides backup and restore tools, including automatic backup to a linked folder on Chrome and Edge. We strongly recommend linking a backup folder and keeping at least one additional copy in a separate location.
We are not liable for any data loss resulting from browser clearing, device failure, accidental deletion, or your failure to maintain current backups.
License activation and verification
A brief internet connection is required on first use to activate your license. After activation, RecordandInvoice operates fully offline. Your activation is stored in your browser and travels in your backup file, so importing a backup restores both your records and your access.
When your device is online, the Software silently re-verifies your license approximately every 30 days. This verification transmits only your license key. No business data is ever transmitted to our servers.
Acceptable Use
You agree to use RecordandInvoice only for lawful business purposes and in compliance with all applicable laws and regulations. You are responsible for all activity that occurs under your license.
We reserve the right to revoke your license and terminate your access, without refund, if we determine in good faith that you have materially violated these Terms, including the restrictions in Section 3.
Updates and Optional Update Plan
First year of updates
Your purchase includes all Software updates we release during the twelve (12) months following your purchase date, at no additional charge.
Optional Update Plan
After the first year, continued access to new updates is available through our optional Update Plan at $24.99 per year. If you do not enroll, your license remains valid and the Software continues to function; you simply do not receive updates released after your included update period ends.
Our update obligations
We are not obligated to release any particular update, feature, or new version of the Software. We reserve the right to change, pause, or discontinue the Update Plan at any time, with reasonable advance notice to current Update Plan subscribers.
Current status
At the time of initial release of RecordandInvoice, the optional Update Plan described in this Section is a reserved future option. No billing mechanism for the Update Plan is currently active, and all customers currently receive updates automatically. The Update Plan will not become an active, billable option until a payment mechanism is implemented and customers receive at least thirty (30) days advance written notice.
Your choice to install
You are never required to install an update. If an update changes functionality in a way you do not prefer, you may continue using your current version.
Support
How to reach us
All support is provided by email at support@recordandinvoice.com. We do not offer phone support.
Response time
We respond to support requests within two to three business days. Business days are Monday through Friday, excluding U.S. federal holidays.
What we support
We will help you with questions about how to use RecordandInvoice, troubleshoot unexpected behavior, and address issues with the Software itself.
What we do not support
We do not provide support for third-party browsers, operating systems, cloud storage services, or accounting software. We cannot recover data that has been lost as a result of browser clearing or device failure when no backup exists.
Refund Policy
We offer a full refund within fourteen (14) calendar days of your purchase date.
How to request a refund
Email support@recordandinvoice.com with your purchase email address and order reference. We will process your refund through your original payment method. Processing time depends on your payment provider and is typically three to seven business days.
Effect of a refund
Your license terminates immediately upon refund. Upon the Software's next online verification following your refund, it enters a read-only state. You can continue to view, print, export, and back up your existing records, but you will no longer be able to create or edit records.
Refund requests submitted more than fourteen (14) calendar days after the purchase date are not eligible.
Payment Processing
Payments are processed by Stripe, Inc. We do not store your payment card number on our systems. All payment data is handled directly by Stripe under their terms of service and privacy policy. Additional payment options may be introduced in future updates to these Terms.
A valid email address is required at checkout to receive your license key. Please ensure your email address is entered correctly. We are not responsible for undelivered license keys resulting from an incorrect email address at checkout.
Intellectual Property
RecordandInvoice, including its software code, design, user interface, documentation, and all related intellectual property, is and remains the exclusive property of Martucks Consulting LLC. These Terms do not transfer any ownership interest to you.

These Terms do not grant you any rights to our trademarks, service marks, trade names, or logos. "RecordandInvoice" and associated marks are proprietary to Martucks Consulting LLC.
Disclaimer of Warranties
Nothing in these Terms limits any rights you may have under applicable consumer protection law that cannot be excluded or modified by contract.
Limitation of Liability
Dispute Resolution and Arbitration
Informal resolution first
Before initiating any formal dispute process, you agree to contact us at support@recordandinvoice.com and give us thirty (30) days to attempt to resolve the issue informally.
Binding arbitration
If we cannot resolve the dispute informally within 30 days, you and we agree that any dispute, claim, or controversy arising from or relating to these Terms or the Software will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The AAA Consumer Arbitration Rules are available at www.adr.org.
Class action waiver
You and we each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.
Small claims carve-out
Either party may bring an individual claim in small claims court for disputes that fall within that court's jurisdiction, without first going through the arbitration process described above.
Arbitration process and costs
Arbitration will be conducted remotely by video, phone, or written submission, unless both parties agree otherwise. AAA filing fees and arbitration costs will be allocated as provided in the AAA Consumer Arbitration Rules.
Opt-out right
You may opt out of this arbitration agreement by emailing support@recordandinvoice.com within thirty (30) days of your purchase date. Your opt-out request must include your name, purchase email address, and a clear statement that you are opting out of the arbitration agreement. Opting out does not affect any other provision of these Terms.
Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 14, you and we consent to the exclusive jurisdiction of the state and federal courts located in Prince George's County, Maryland.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms at recordandinvoice.com and, where practical, by email to the address associated with your license.
We will not retroactively apply changes that reduce your rights with respect to a license you have already purchased. Your continued use of the Software after the effective date of any updated Terms constitutes your acceptance of those Terms.
Entire Agreement
These Terms, together with our Privacy Policy available at recordandinvoice.com, constitute the entire agreement between you and Martucks Consulting LLC with respect to RecordandInvoice and supersede all prior communications, representations, or agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Our failure to enforce any provision of these Terms at any time is not a waiver of our right to enforce that provision in the future.
